What is a Tripartite Agreement in Home Loans? Format & Under-Construction Guide (2026)

Updated · 3 min read · By Vijay Arjun, LIC HFL DSA since 2002

Quick answer: In housing finance, a Tripartite Agreement (Tri-party Agreement) is a legally binding contract executed among three parties: the Homebuyer (Borrower), the Property Developer (Builder), and the Lending Institution (such as LIC Housing Finance). It is mandatory when financing an under-construction apartment or villa where the final Sale Deed cannot yet be registered. The agreement legally binds the builder to construct the property according to sanctioned plans, disburse construction tranches directly to escrow accounts, and transfer clear title to the lender if the buyer defaults.

Why is a Tripartite Agreement Legally Necessary?

When you buy a ready-to-move house, you register a Sale Deed and hand over the original title deeds to create an equitable mortgage (MODT). However, for an under-construction flat in high-rise clusters like Kokapet, Tellapur, or Nanakramguda, the property does not yet legally exist as a registered freehold unit.

To secure the bank’s investment and protect the buyer’s payments, the Tripartite Agreement bridges this legal gap by establishing three core guarantees:

  • Direct Tranche Payments: The bank disburses stage-wise construction funds directly into the developer’s registered RERA project escrow account.
  • Builder’s Legal Commitment: The builder commits not to sell, pledge, or create any third-party charge on your specific unit until the home loan is cleared.
  • Title Deed Handover: Upon project completion and registration, the builder is legally bound to deliver the original registered sale deed directly to LIC Housing Finance’s custody.

Difference: Sale Agreement vs Tripartite Agreement

Borrowers often confuse their builder sales agreement with the tripartite agreement:

  • Agreement of Sale (Bipartite): Signed between you (Buyer) and the Builder, outlining flat specifications, payment schedules, and handover dates.
  • Tripartite Agreement: Involves the lending bank as an active party, governing how loan funds will be disbursed and safeguarding mortgage title creation.

Frequently asked questions

Is a tripartite agreement required for ready-to-move flats?

No. For ready flats, a tripartite agreement is not needed because the sale deed is registered immediately, and the original title deed is handed over to the bank on the registration date.

Who pays the stamp duty on a tripartite agreement in Telangana?

Tripartite agreements are typically executed on non-judicial stamp paper (usually ₹100 to ₹500 value) and franked according to state stamp laws, with the nominal cost borne by the borrower.
